Downloads is the number of copies you sell or that get downloaded by new customers. Upgrades is the number of copies downloaded by existing customers that are upgrading to a newer version without a separate purchase.

This distinction is important just for the stores that support this distinction and that provide data about the upgrades. Right now, only Apple iTunes supports this information.
